Job Description
The National University of Singapore (NUS) is seeking a highly skilled and experienced Legal Counsel or Senior Legal Counsel to join its dynamic legal team, focusing on enterprise and venture investments. This is an exciting opportunity to provide strategic legal advice and support to NUS's enterprise and venture ecosystem, including its technology transfer, spin-offs, and investment arms.
In this role, you will be at the forefront of legal innovation, advising on complex corporate structures, investments, intellectual property, and commercial agreements. You will collaborate with senior leadership, researchers, and external partners to facilitate the translation of research into commercial success while mitigating legal risks.
Key Responsibilities:
- Provide comprehensive legal advice on venture capital investments, fund formation, and corporate governance for NUS-related entities.
- Review, draft, and negotiate a wide range of commercial agreements, including investment agreements, licensing deals, shareholder agreements, and joint ventures.
- Support technology transfer transactions, including patent licensing, spin-off formations, and research collaborations.
- Advise on regulatory compliance matters, including intellectual property laws, data privacy, and securities regulations.
- Manage due diligence processes for investments and strategic partnerships.
- Develop and implement legal policies, templates, and best practices to support the growing enterprise and venture portfolio.
- Collaborate with internal stakeholders such as the NUS Enterprise, industry liaison offices, and investment committees.
- Monitor legal developments in areas impacting venture investments, corporate law, and technology transfer.
Qualifications:
- Qualified lawyer with a Bachelor of Laws (LLB) or Juris Doctor (JD) degree from a recognized university.
- Called to the Bar or equivalent legal qualification in Singapore (Advocate & Solicitor of the Supreme Court of Singapore) or a common law jurisdiction.
- At least 5-8 years of post-qualification experience (PQE) for Senior Legal Counsel; fewer years for Counsel role, with experience in corporate law, venture capital, or technology transactions.
- Exceptional drafting, negotiation, and communication skills in English.
- Strong understanding of venture capital structures, investment documentation, and corporate governance.
- Experience with intellectual property law and technology transfer is highly desirable.
- Ability to work independently and manage multiple complex projects in a fast-paced environment.
- High level of integrity, professionalism, and collaborative spirit.
