Responsibilities
- Manage and oversee a portfolio of corporate secretarial matters, ensuring full compliance with the Companies Act 2016 and other relevant regulations.
- Coordinate, attend, and record proceedings for Board of Directors meetings, Committee meetings, and General Meetings.
- Draft and prepare high-quality minutes, resolutions, and board papers with precision and timely delivery.
- Liaise effectively with the Companies Commission of Malaysia (SSM) and other regulatory bodies regarding statutory filings and updates.
- Maintain and update statutory records, including registers of directors, shareholders, and charges.
- Provide expert advice to the Board and management on corporate governance best practices and regulatory requirements.
- Facilitate the processing of share allotments, transfers, and dividend payments where applicable.
- Oversee the annual report preparation process in coordination with various internal departments.
Qualifications
- Possess a recognized Degree in Law, Corporate Administration, or a related field.
- Professional qualification from the Malaysian Institute of Chartered Secretaries and Administrators (MAICSA) or ICSA is mandatory.
- At least 4–6 years of relevant experience in company secretarial practice, preferably within a reputable firm or a public listed company.
- Comprehensive knowledge of the Companies Act 2016 and corporate governance frameworks in Malaysia.
- Exceptional command of English and Bahasa Malaysia, both written and spoken.
- Strong analytical skills with an eye for detail and high level of integrity.
- Proven ability to manage multiple tasks under pressure and meet tight deadlines.
