Responsibilities
- Lead and manage corporate transactions, including M&A, joint ventures, and private equity deals.
- Draft, review, and negotiate complex contracts, shareholder agreements, and regulatory filings.
- Provide strategic legal counsel to senior leadership on corporate governance and compliance matters.
- Conduct thorough legal research and analysis of statutory, regulatory, and case law developments.
- Collaborate with cross-functional teams (finance, HR, operations) to support business objectives.
- Mentor junior attorneys and legal staff, fostering a culture of excellence and continuous learning.
- Represent the firm in client meetings, arbitrations, and court proceedings as needed.
Qualifications
- Juris Doctor (JD) degree from an accredited law school; bar admission in New York State required.
- Minimum of 5 years of experience in corporate law, preferably with a top-tier law firm or in-house legal department.
- Proven expertise in M&A, corporate finance, securities law, and regulatory compliance.
- Exceptional analytical, drafting, and negotiation skills with attention to detail.
- Strong business acumen and ability to translate complex legal concepts for non-legal stakeholders.
- Excellent communication and interpersonal skills; proven ability to build client relationships.
- Ability to manage multiple high-stakes projects simultaneously under tight deadlines.
