Responsibilities
- Manage due diligence processes for multi-million dollar M&A deals
- Prepare and review closing documents including asset purchase agreements
- Coordinate corporate filings with state and federal authorities
- Oversee electronic document management systems for case files
- Assist in drafting board resolutions and shareholder communications
- Conduct legal research using Westlaw and LexisNexis
- Coordinate with external vendors and opposing counsel
Qualifications
- Bachelor's degree or Paralegal Certificate (ABA-approved)
- 5+ years of corporate paralegal experience at a top-tier firm
- Advanced proficiency in Clio and iManage document management
- Strong knowledge of Delaware corporate law and SEC regulations
- Excellent written communication and drafting skills
- Ability to manage complex deadlines in a fast-paced environment
- Professional certification (NALS or NFPA) preferred
